Evernorth Delays Nasdaq Debut to October 12: What Its 473…

Evernorth Holdings has delayed its planned Nasdaq debut under ticker XRPN from October 8 to approximately October 12, giving investors several more days before one of the largest dedicated corporate XRP treasuries reaches the public market.

The company disclosed the change in an October 6 filing with the U.S. Securities and Exchange Commission, citing an “administrative delay” that it said was not expected to affect completion of its business combination with Armada Acquisition Corp. II. Closing is now expected on or about October 9, rather than October 7.

Armada shareholders already approved the transaction on September 30. Evernorth previously said the combination and associated financing would provide approximately $300 million in gross cash proceeds, including $225 million from private placements, $30 million of incremental convertible-note financing and approximately $48 million remaining in Armada’s trust.

The more consequential number for crypto investors, however, is Evernorth’s expected opening XRP treasury: at least 473,276,430 XRP.

Where Evernorth’s 473 Million XRP Comes From

SEC filings provide an unusually detailed breakdown. The largest component is 211.32 million XRP that Armada’s sponsor agreed to contribute. Ripple separately contributed 126.79 million XRP, while another related entity committed 50 million XRP. Advance and delayed funding subscribers are contributing another 800,000 XRP.

The remaining 84.37 million XRP was purchased directly using $214 million raised through advance-funding subscriptions.

Evernorth acquired those tokens at an average price of $2.53657 per XRP, meaning this portion represents actual market purchases rather than XRP contributed in exchange for equity. The November 2025 acquisition took Evernorth’s total purchased and committed holdings above 473.27 million XRP.

That distinction matters when evaluating the treasury. Only about 17.8% of the expected 473.3 million XRP balance came from that $214 million market purchase; the majority entered through investor, sponsor and Ripple contributions associated with the transaction.

Evernorth says the resulting balance would make it the largest publicly traded pure-play XRP treasury company once the combination closes.

XRPN Is Designed to Be More Than an XRP Wrapper

Evernorth’s strategy also differs materially from simply holding XRP in cold storage. The company intends to increase XRP per share through institutional lending, liquidity provision, decentralized-finance yield strategies, ecosystem participation and capital-markets activity. It also plans to participate more directly in XRP Ledger infrastructure and projects expanding XRP’s use across payments and tokenized assets.

That creates a different risk-and-return profile from a passive spot XRP ETF. Investors will receive equity in an operating treasury company whose value will depend not only on XRP’s market price but also on financing, expenses, dilution and management’s ability to generate returns from the treasury.

The transaction has substantial crypto-industry backing. Evernorth has identified Ripple, Arrington Capital, SBI Group, Pantera Capital, Kraken and GSR among its investors.

The immediate milestone has nevertheless shifted. October 8 had been repeatedly advertised as XRPN’s expected first trading day following shareholder approval. The October 6 SEC filing supersedes that timetable.

Provided the remaining closing and Nasdaq conditions are satisfied, October 12 is now the expected debut, with Evernorth entering public markets holding at least 473.3 million XRP.

For investors, that makes XRPN less a conventional operating-company listing than a public-market test of whether an actively managed crypto treasury can command a valuation above—or below—the market value of the XRP sitting on its balance sheet.
