New investment will support the U.S. OTC derivatives provider’s plans to offer institutional exposure to private-company shares, international equities, compute capacity and digital assets.
SwapGlobal has secured funding from Dutch investor Marcel Boekhoorn, W Group Founder and President Volodymyr Nosov, and Amsterdam-based private equity firm Kenzoll Capital. The U.S. OTC derivatives provider plans to use the investment to expand its institutional offering, beginning with derivatives that provide exposure to shares in private companies before they go public.
The financing will increase SwapGlobal’s trading and working capital, allowing it to accommodate additional institutional counterparties and a broader range of contracts. The company has not disclosed the amount raised.
The investment also builds on SwapGlobal’s previously announced strategic partnership with Kenzoll Capital, which has contributed trading technology and market-making capabilities to the company’s infrastructure.
Expanding access to private-market exposure
Pre-IPO shares have become an area of interest for institutional investors seeking exposure to companies before their public listings. Direct participation in private markets can involve restrictions on ownership, transfers and access to available shares.
SwapGlobal is developing an alternative route through over-the-counter derivatives.
Its products are designed to give eligible institutional clients economic exposure to private-company shares without requiring them to acquire the underlying equity. The same model can be applied to non-U.S. stocks, computing capacity and digital assets.
The company’s initial transactions are being prepared around pre-IPO shares, with other asset categories forming part of its wider derivatives offering.
SwapGlobal intends to serve hedge funds, asset managers and other professional investors through this structure.
Trading infrastructure built for institutional clients
SwapGlobal’s operating model is designed to reduce the infrastructure that clients need to maintain when accessing digital asset-linked markets.
Eligible institutions can establish derivatives positions without opening their own offshore exchange accounts, operating crypto wallets or maintaining separate cryptocurrency trading systems.
SwapGlobal manages the positions and carries out hedging activity through crypto trading platforms. Client collateral is held with qualified custodians.
This arrangement separates the institutional client’s derivatives exposure from the trading infrastructure used to manage the underlying market risk.
The new funding will give SwapGlobal additional capacity to support those positions as its portfolio grows.
The company describes the investment as the first stage of a broader capital plan that will develop alongside demand for its derivatives products.
Investors support the next stage of development
The financing brings together investors with backgrounds in private capital, financial technology and digital assets.
Marcel Boekhoorn is a Dutch investor, while Volodymyr Nosov is Founder and President of W Group. Kenzoll Capital is an Amsterdam-based private equity firm specializing in special situations investments.
René van Kesteren, Founder and CEO of SwapGlobal, said:
“With these investors on board, we can serve institutional clients within the U.S. regulatory framework much faster with OTC derivatives on pre-IPO shares, compute and digital assets. The trading capital and additional working capital give us room to move into the next phase of growth.”
Volodymyr Nosov, Founder and President of W Group, said:
“Digital assets are moving from the edges of finance into the mainstream, and institutional capital needs infrastructure it can trust. Investors need partners who can offer clear structures and proper risk controls. SwapGlobal is building a U.S.-compliant, transparent way for institutions to take exposure to these markets, and that is why we are backing the company.”
Risk management capacity expands
Alongside the financing, SwapGlobal has appointed Fedja Terzic as Chief Risk Officer.
Terzic is a certified actuary (AAG) and Financial Risk Manager (GARP). He previously spent six years at Flow Traders, where he became Global Head of Risk & Middle Office and Managing Director.
He later served as Chief Operating Officer and Chief Risk Officer at One Trading, Europe’s first MiFID-regulated crypto derivatives exchange.
His appointment comes as SwapGlobal prepares to increase the number and variety of derivatives contracts it supports.
Corné Melissen, Founder of Kenzoll Capital, said:
“Our digital asset market-making business has been part of SwapGlobal’s trading setup. The technology and the team that run it now sit inside SwapGlobal, so the company can set prices for its derivatives and manage the risk on them in one place.”
SwapGlobal plans to expand its institutional business as its trading portfolio develops, with pre-IPO derivatives forming the initial focus of its next phase.
